- FONAR Corporation (NASDAQ: FONR) develops, manufactures, sells and services magnetic resonance imaging (MRI) scanners and provides physician management and diagnostic imaging services. The company offers its flagship FONAR UPRIGHT Multi-Position MRI (Stand-Up MRI), the world's only whole-body open MRI scanner capable of imaging patients in weight-bearing positions including standing, sitting, bending and lying down; related service and maintenance contracts; replacement parts; and innovations such as oblique imaging, multi-angle oblique scanning protocols and position imaging. Through its subsidiary Health Management Corporation of America (HMCA), FONAR delivers comprehensive management services encompassing administrative support, billing and collections, compliance consulting, IT services, equipment maintenance, purchasing and non-medical staffing to diagnostic imaging centers; HMCA owns and operates six diagnostic imaging facilities primarily in Florida and manages additional centers and multi-specialty practices in New York and Florida. Founded in 1978 by Dr. Raymond V. Damadian and headquartered in Melville, New York, FONAR pioneered the first commercial whole-body MRI scanner in 1980 and maintains global installations of approximately 300 MRI systems across regions including the United States, Europe, India, China, Korea, Australia, Saudi Arabia and Mexico. Recent developments include a distributor agreement with AIRS Medical in November 2023 for AI-powered MRI technology; non-binding "take-private" acquisition proposals in July 2025 from a management-led group including CEO Timothy R. Damadian offering $17.25 per share, representing a 27% premium to recent trading averages, under review by a special committee of independent directors; board appointments of independent directors Robert M. Carrino in July 2025 and others; and announcement of first quarter fiscal 2026 financial results in November 2025.
