The company, spun off from 3M and became independently publicly traded on April 1, 2024, after incorporation in 2023 as a successor to 3M's health care business with over 70 years of history, maintains headquarters in St. Paul, Minnesota, and employs more than 20,000 people across approximately 38 countries with significant operations in the United States (over 50% of sales), EMEA, Asia-Pacific including China, and other international markets; it operates through three primary segments post recent divestiture, MedSurg (largest, encompassing advanced wound care, oral care and medical device components), Dental Solutions, and Health Information Systems, serving hospitals, clinics, dental professionals, biopharma firms and healthcare providers. Recent major changes include the February 2025 announcement and subsequent completion of the $4.1 billion sale of its Purification & Filtration business to Thermo Fisher Scientific Inc. expected by end-2025 for net proceeds of about $3.4 billion primarily to reduce debt as part of its multi-phase transformation plan following independence; alongside scheduling an Investor Day in March 2025 to outline long-range strategy and a definitive agreement to acquire Acera Surgical to bolster surgical technologies and patient outcomes.
